These Venue Partner Terms & Conditions ("Terms", "Agreement", or "Venue Partner Terms") govern the relationship between Jashn Hall Private Limited ("Jashn", "Company", "we", "our", or "us") and any venue owner, operator, manager, authorized representative, or other person or entity ("Venue Partner", "you", or "your") that lists or offers a venue through the Jashn mobile application, BookMyJashn website, or any related service (collectively, the "Platform"). By registering as a Venue Partner, submitting a venue for listing, providing venue information, accepting bookings, or otherwise using the Platform as a Venue Partner, you acknowledge that you have read, understood, and agreed to these Terms.

1. Definitions

For the purposes of these Terms: "Customer" means any person using the Platform to discover, enquire about, or book a venue. "Venue" means any banquet hall, marriage hall, resort, farmhouse, hotel, party hall, event space, or other premises listed by a Venue Partner on the Platform. "Booking" means a venue booking request submitted by a Customer through the Platform and accepted by the Venue Partner in accordance with these Terms. "Booking Amount" means the total amount agreed between the Customer and Venue Partner for the applicable venue booking. "Token Amount" means the amount paid by a Customer through the Platform at the time of submitting a token booking request, as displayed on the Platform. "Platform" means the Jashn mobile application, BookMyJashn website, and related services operated by Jashn.

2. Role of Jashn

Jashn operates as a technology-enabled marketplace that facilitates discovery and booking requests between Customers and independent Venue Partners.

Jashn does not own, operate, lease, manage, supervise, or control the Venue. The Venue Partner remains solely responsible for the Venue, its operation, staff, services, facilities, licences, permissions, pricing, availability, and compliance with applicable laws. Unless expressly stated otherwise, the contractual relationship relating to the Venue and the services provided at the Venue is between the Customer and the Venue Partner. Jashn's role is primarily to provide the technology and marketplace infrastructure through which Customers and Venue Partners can discover and communicate with each other and facilitate booking requests.

3. Eligibility and Authority

You represent and warrant that:

  • You are legally competent to enter into this Agreement
  • You are the owner, operator, manager, or duly authorized representative of the Venue
  • You have the authority to list and offer the Venue through the Platform
  • All information and documents submitted to Jashn are accurate and genuine
  • You have the necessary authority to enter into bookings with Customers
  • You will comply with all applicable laws, rules, regulations, licences, permits, and local requirements. If you are acting on behalf of a company, partnership, proprietorship, trust, organization, or other entity, you represent that you are duly authorized to bind that entity

4. Venue Registration and Verification

Venue Partners may be required to provide information necessary for creation and verification of a Venue listing. Such information may include:

  • Venue name
  • Owner or authorized representative details
  • Mobile number
  • Email address
  • Venue address
  • Venue photographs
  • Capacity
  • Pricing
  • Amenities
  • Facilities
  • Available services
  • Event types supported
  • Operating hours
  • Bank or settlement details, where applicable
  • PAN, GST, registration, licence, or other information where applicable

Jashn may request additional information or documents for verification. Jashn may reject, suspend, modify, or remove a Venue listing where information is incomplete, inaccurate, misleading, unverifiable, unlawful, or inconsistent with Platform requirements.

5. Venue Listing

The Venue Partner is solely responsible for ensuring that all information provided for the Venue listing is accurate, complete, current, and not misleading. The Venue Partner must promptly update information relating to:

  • Pricing
  • Availability
  • Capacity
  • Amenities
  • Facilities
  • Venue photographs
  • Services
  • Contact information
  • Venue rules
  • Restrictions
  • Cancellation conditions

The Venue Partner shall not intentionally provide false, misleading, exaggerated, or deceptive information. Jashn may edit formatting, presentation, categorization, or layout of listing information for Platform consistency without changing the substantive information provided by the Venue Partner.

6. Photographs and Content

The Venue Partner may provide photographs, videos, descriptions, logos, menus, brochures, promotional material, and other content ("Venue Content") for publication on the Platform. The Venue Partner represents that it has the necessary rights, permissions, and authority to provide such Venue Content. The Venue Partner grants Jashn a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, format, modify for technical or promotional purposes, and distribute the Venue Content in connection with operating, marketing, promoting, and improving the Platform. The Venue Partner shall not provide content that infringes any third party's intellectual property, privacy, publicity, or other rights.

7. Pricing

The Venue Partner shall independently determine the prices offered for its Venue, subject to the information displayed and agreed through the Platform. The Venue Partner shall ensure that displayed prices are accurate and clearly communicate any material conditions, exclusions, applicable taxes, or additional charges. The Venue Partner shall honour the price applicable to a confirmed Booking unless otherwise agreed with the Customer or permitted under the applicable booking terms. Jashn may display prices provided by the Venue Partner and shall not be responsible for pricing errors caused by inaccurate information supplied by the Venue Partner.

8. Availability

The Venue Partner is responsible for maintaining accurate availability information. The Venue Partner shall not knowingly accept overlapping bookings for the same Venue, date, time, or event space where such bookings cannot reasonably be fulfilled.

If the Venue becomes unavailable due to another booking, maintenance, closure, private event, government restriction, or any other reason, the Venue Partner must promptly update the Platform or notify Jashn. Failure to maintain accurate availability may result in suspension or removal of the Venue listing.

9. Booking Requests

Customers may submit a Venue booking request through the Platform using either of the booking options made available by Jashn:

9.1 Token Booking

A Customer may submit a booking request by paying the applicable token amount displayed on the Platform. Payment of the token amount does not by itself constitute acceptance by the Venue Partner. The Venue Partner must review the booking request and accept or decline it within three (3) calendar days (72 hours) from the date and time the request is submitted, or before the scheduled event date, whichever occurs earlier.

9.2 Book for Free

Customers may also submit a booking enquiry without making a payment where the "Book for Free" option is available. A free booking enquiry does not guarantee availability or create a confirmed booking. The Venue Partner may accept or decline such an enquiry.

10. Three-day Acceptance Period

For token bookings, the Venue Partner must accept or decline the booking request within three (3) calendar days (72 hours) from the date and time the request is submitted, or before the scheduled event date, whichever occurs earlier. If the Venue Partner fails to respond within this period, the booking request may automatically expire or be cancelled by Jashn.

Where the Customer has paid a token amount and the booking expires or is declined by the Venue Partner during the applicable acceptance period, Jashn shall initiate a refund of the token amount to the Customer in accordance with the applicable Refund & Cancellation Policy and payment processing procedures. The Venue Partner agrees to cooperate with Jashn in processing such refunds.

  1. VENUE PARTNER CANCELLATION BEFORE CONFIRMATION The Venue Partner may decline or cancel a pending booking request within three (3) calendar days (72 hours) from the date and time the request is submitted, or before the scheduled event date, whichever occurs earlier. Where a Customer has paid a token amount, the applicable refund shall be initiated in accordance with Jashn's Refund & Cancellation Policy. The Venue Partner shall not attempt to circumvent the Platform's booking process by accepting a Customer's booking through the Platform and subsequently directing the Customer to cancel the Platform booking solely to avoid applicable Jashn charges.

12. Confirmed Bookings

A Booking shall become confirmed once the Venue Partner accepts the applicable booking request and the conditions displayed on the Platform have been satisfied. The Venue Partner shall honour confirmed bookings and provide the Venue and agreed services to the Customer in accordance with the booking details. Any material change to a confirmed Booking should be communicated promptly to the Customer and Jashn.

13. Venue Partner Cancellation of Confirmed

BOOKINGS A Venue Partner should not cancel a confirmed Booking except where reasonably necessary.

If the Venue Partner cancels a confirmed Booking, the Venue Partner shall promptly notify Jashn and the Customer and cooperate with Jashn regarding any applicable refund. Jashn may take appropriate action, including:

  • Assisting the Customer with the refund process
  • Temporarily suspending the Venue listing
  • Reducing the visibility of the Venue
  • Restricting future bookings
  • Removing the Venue from the Platform
  • Taking other reasonable measures under these Terms

The Venue Partner remains responsible for consequences arising from its cancellation, subject to applicable law and the agreed contractual terms.

  • BOOKING MODIFICATIONS

Any modification to a confirmed Booking, including changes to the booking date, time, guest count, venue area, package, services, facilities, or Booking Amount, shall be subject to the Venue Partner's acceptance and the applicable Jashn policies. The Venue Partner shall clearly communicate any additional charges, revised Booking Amount, or other material changes to the Customer before the modification is confirmed. Where a modification results in an additional payment or refund, such amount shall be handled in accordance with the applicable payment, refund, and cancellation procedures of the Platform. Jashn shall not be responsible for disputes arising from modifications independently agreed between the Customer and the Venue Partner, except to the extent caused by Jashn's own acts or omissions.

  • CUSTOMER NO-SHOW / NON-COMPLETION OF PAYMENT

If a Customer fails to make any additional payment required for a confirmed Booking within the applicable period, or fails to appear at the Venue on the confirmed date and time without cancelling in accordance with the applicable cancellation terms, the Venue Partner shall notify Jashn where reasonably practicable. Any cancellation, forfeiture, refund, or other consequence arising from such Customer default or no-show shall be determined in accordance with the applicable Jashn policies and the booking terms communicated to the Customer.

The Venue Partner shall not independently impose charges or retain amounts contrary to the applicable Platform policies or the terms communicated to the Customer at the time of Booking.

  • CHARGEBACKS AND PAYMENT REVERSALS

If a Customer initiates a chargeback, payment reversal, payment dispute, or other claim relating to a transaction associated with the Venue Partner, Jashn may temporarily withhold, suspend, or adjust the corresponding settlement amount while the matter is investigated or resolved. The Venue Partner agrees to reasonably cooperate with Jashn, payment gateway providers, banks, and other relevant parties in connection with such disputes and shall provide information or supporting documents reasonably requested by Jashn. Where a payment is subsequently reversed, refunded, charged back, or determined to be invalid, Jashn may recover the corresponding amount from the Venue Partner's current or future settlements, subject to applicable law. Jashn may also temporarily restrict or suspend settlements where reasonably necessary to protect against fraud, unauthorized transactions, chargebacks, or other payment-related risks.

14. Jashn Commission

For confirmed venue bookings generated through Jashn, the Venue Partner shall pay Jashn the applicable platform commission based on the Booking Amount. The current commission structure is: Booking Amount Jashn Commission Up to ₹25,000 ₹1,000 ₹25,001 - ₹50,000 ₹2,000 Above ₹50,000 ₹5,000 Applicable GST at 18% shall be charged on the Jashn commission, or such other rate as may be applicable under law. Where applicable, payment gateway charges of 2.5% shall also apply in accordance with the payment arrangement displayed or communicated by Jashn. Jashn may revise its commercial terms by providing appropriate notice to Venue Partners.

15. Commission and Payment Obligations

The Venue Partner agrees that Jashn's applicable commission becomes payable in accordance with the applicable settlement and payment arrangement once a booking generated through the Platform is confirmed. The Venue Partner shall not structure, alter, or misrepresent the Booking Amount for the purpose of avoiding or reducing Jashn's applicable commission. Any attempt to bypass Jashn after a Customer has been introduced through the Platform may be treated as a violation of these Terms. Jashn may recover applicable amounts from future settlements or otherwise invoice the Venue Partner.

16. Payment Gateway and Customer Payments

Where the Platform facilitates token payments, payments may be processed through authorized third-party payment service providers. The Venue Partner acknowledges that payment processing may be subject to payment gateway timelines, banking processes, refunds, reversals, chargebacks, and applicable service charges. Jashn shall not be responsible for delays caused solely by banks, payment gateways, or other third-party payment providers.

17. Settlements

Where Jashn is responsible for facilitating settlement of any amount to the Venue Partner, settlement shall be made in accordance with the applicable settlement schedule and after adjustment of applicable commissions, taxes, payment gateway charges, refunds, reversals, chargebacks, or other amounts payable by the Venue Partner. The Venue Partner is responsible for providing accurate bank and tax information necessary for settlement. Jashn may withhold or delay settlement where reasonably necessary to investigate fraud, disputes, chargebacks, suspected misuse, regulatory requirements, or other legitimate concerns.

18. Taxes

The Venue Partner is responsible for all taxes, duties, levies, registrations, filings, and statutory obligations arising from its business and services. The Venue Partner shall provide valid tax information and invoices where required by applicable law. Jashn may collect and remit applicable taxes on its own services where required by law.

19. Customer Communication

Venue Partners shall communicate professionally and respectfully with Customers. Venue Partners shall not:

  • Harass Customers
  • Provide misleading information
  • Request prohibited payments
  • Misrepresent Jashn policies
  • Use Customer information for unrelated purposes
  • Engage in discriminatory or unlawful conduct

Customer contact information made available through the Platform shall be used only for legitimate purposes connected with the relevant booking or enquiry and in accordance with applicable privacy laws.

20. Direct Dealings and Platform Bypass

A Venue Partner shall not intentionally use Customer information obtained through Jashn to circumvent Jashn's Platform for the purpose of avoiding applicable commission or charges. This does not prevent genuine direct communication between the Venue Partner and Customer that is necessary to fulfil a confirmed Booking. Any attempt to bypass Jashn's commercial arrangements may result in suspension, removal of the Venue listing, recovery of applicable amounts, or termination of the Venue Partner's account.

21. Venue Operations

The Venue Partner is solely responsible for:

  • Venue operations
  • Cleanliness and maintenance
  • Staff and personnel
  • Food and catering services
  • Decoration
  • Photography
  • Music and entertainment
  • Safety and security
  • Customer service
  • Facilities and amenities
  • Compliance with applicable laws

Jashn does not supervise or control the day-to-day operation of the Venue.

22. Licences, Permits and Legal Compliance

The Venue Partner shall obtain and maintain all licences, permissions, registrations, approvals, insurance, and permits required for lawful operation of the Venue and provision of its services. This may include, where applicable:

  • Municipal permissions
  • Fire and safety approvals
  • Food-related licences
  • Music and performance permissions
  • Trade licences
  • GST registrations
  • Local authority permissions
  • Other statutory approvals

The Venue Partner shall immediately notify Jashn of any suspension, cancellation, expiry, or material restriction affecting its ability to operate the Venue.

23. Health, Safety and Security

The Venue Partner shall maintain appropriate health, safety, security, emergency, and crowd-management measures applicable to the Venue and the events conducted there. Jashn does not assume responsibility for injuries, accidents, property damage, or safety incidents occurring at the Venue, except to the extent directly attributable to Jashn's own acts or omissions and subject to applicable law.

24. Customer Complaints

The Venue Partner shall reasonably cooperate with Jashn in responding to Customer complaints relating to the Venue or Booking. Jashn may facilitate communication between the parties but does not guarantee resolution of disputes between Customers and Venue Partners. The Venue Partner remains responsible for resolving complaints concerning its own services, facilities, staff, pricing, or operations.

25. Reviews and Ratings

Customers may submit reviews and ratings concerning their experience. The Venue Partner shall not:

  • Submit fake reviews
  • Manipulate ratings
  • Threaten or pressure Customers to provide positive reviews
  • Offer prohibited incentives for reviews
  • Create multiple accounts to manipulate ratings

Jashn may moderate, remove, or restrict reviews or ratings that violate Platform policies or applicable law.

26. Prohibited Activities

Venue Partners shall not use the Platform for:

  • Fraudulent activities
  • Money laundering
  • Illegal activities
  • False or misleading listings
  • Sale or promotion of prohibited goods or services
  • Discriminatory practices
  • Harassment
  • Unauthorized collection or misuse of Customer data
  • Circumvention of Jashn's commission structure
  • Any activity violating applicable law

27. Intellectual Property

The Venue Partner retains ownership of its original Venue Content, subject to the licence granted to Jashn under these Terms. The Jashn name, logo, trademarks, software, Platform design, databases, technology, and other intellectual property belonging to Jashn remain the property of Jashn Hall Private Limited or its licensors. The Venue Partner shall not copy, reproduce, modify, distribute, or commercially exploit Jashn's intellectual property without prior written permission.

28. Data and Privacy

Venue Partners shall handle Customer information made available through the Platform only for legitimate purposes connected with enquiries and confirmed Bookings. Venue Partners shall not sell, rent, share, or otherwise misuse Customer information. Venue Partners shall comply with applicable privacy and data-protection laws. Jashn's collection and processing of personal information is governed by the Jashn Privacy Policy.

29. Representations and Warranties

The Venue Partner represents and warrants that:

  • The Venue information provided is accurate
  • The Venue Partner has authority to list the Venue
  • The Venue Content does not infringe third-party rights
  • The Venue operates lawfully
  • The Venue Partner possesses required licences and permissions
  • Prices and availability provided to Jashn are accurate
  • The Venue Partner will honour confirmed Bookings
  • The Venue Partner will comply with these Terms and applicable laws

30. Indemnification

To the extent permitted by applicable law, the Venue Partner agrees to indemnify and hold harmless Jashn Hall Private Limited, its directors, officers, employees, agents, and representatives from claims, losses, liabilities, damages, penalties, costs, and expenses arising from:

  • Operation of the Venue
  • Services provided by the Venue Partner
  • Breach of these Terms
  • Violation of applicable law
  • Inaccurate or misleading listing information
  • Customer claims relating to Venue services
  • Intellectual property infringement caused by Venue Content
  • Misuse of Customer information
  • Negligence or misconduct of the Venue Partner or its personnel

31. Limitation of Liability

To the fullest extent permitted by applicable law, Jashn shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Venue Partner's use of the Platform or dealings with Customers. Jashn does not guarantee the volume of bookings, revenue, enquiries, customer traffic, or business generated through the Platform.

Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

32. Suspension and Removal

Jashn may temporarily suspend, restrict, reduce the visibility of, or remove a Venue listing where:

  • Information is false or misleading
  • The Venue Partner violates these Terms
  • Customers report serious concerns
  • Fraud or suspicious activity is detected
  • The Venue lacks required permissions
  • The Venue Partner repeatedly cancels confirmed Bookings
  • The Venue Partner attempts to bypass Jashn's commercial arrangements
  • Required payments remain outstanding
  • Such action is required by law

Where reasonably practicable, Jashn may provide notice before taking such action.

33. Termination

Either party may terminate the Venue Partner relationship subject to any outstanding contractual or financial obligations. Termination shall not affect rights or obligations that accrued before termination. Bookings already confirmed may continue to be governed by the applicable booking terms unless otherwise agreed or required by law. Amounts payable to Jashn before termination shall remain payable.

34. Force Majeure

Neither Jashn nor the Venue Partner shall be liable for any delay, interruption, failure, cancellation, or non-performance of its obligations to the extent caused by events beyond its reasonable control ("Force Majeure Event"). Force Majeure Events may include, without limitation:

  • Floods;
  • Earthquakes
  • Fires
  • Pandemics
  • Epidemics
  • Government restrictions or orders
  • Curfews
  • Riots or civil unrest
  • Terrorism
  • War or threat of war
  • Natural disasters
  • Utility failures
  • Electricity failures
  • Internet or telecommunications outages
  • Transportation disruptions
  • Strikes or labour disruptions; and
  • Other events beyond the reasonable control of the affected party.

The affected party shall, where reasonably practicable, notify the other party of the Force Majeure Event and take reasonable steps to mitigate its effects. Where a Force Majeure Event affects a confirmed booking, the applicable refund, cancellation, rescheduling, or other arrangements shall be handled in accordance with the applicable Jashn policies, the Venue Partner's applicable booking terms, and applicable law

35. Non-circumvention

Venue Partners shall not intentionally encourage, solicit, induce, or attempt to persuade Customers introduced through the Platform to complete bookings, payments, or transactions outside the Platform for the purpose of avoiding Jashn's applicable Platform fees, commissions, or other charges. This restriction does not prevent legitimate communication or direct interaction between the Venue Partner and Customer that is reasonably necessary for fulfilling a confirmed booking or providing the agreed venue services. If Jashn reasonably determines that a Venue Partner has engaged in deliberate circumvention or attempted to avoid applicable Platform fees, Jashn may take one or more of the following actions, subject to applicable law:

  • Suspend or restrict the Venue listing
  • Reduce listing visibility
  • Suspend or restrict the Venue Partner account
  • Withhold or delay applicable payouts
  • Recover applicable fees, commissions, or losses;
  • Cancel or restrict future bookings where permitted
  • Terminate the Venue Partner account; and
  • Take appropriate legal action where necessary.

The Venue Partner acknowledges that Customers introduced through the Platform are an important part of Jashn's marketplace and agrees not to deliberately circumvent Jashn's commercial arrangements

36. Survival

Provisions relating to payment obligations, non-circumvention, confidentiality, intellectual property, indemnification, limitation of liability, dispute resolution, and any other provisions which by their nature are intended to survive termination shall continue to apply after termination of the Venue Partner relationship.

37. Confidentiality

The Venue Partner shall maintain the confidentiality of non-public commercial, financial, technical, customer, and Platform information obtained through its relationship with Jashn. This obligation shall not apply to information that:

  • Is publicly available without breach
  • Was lawfully known before disclosure
  • Is independently developed; or
  • Must be disclosed under applicable law

38. Changes to These Terms

Jashn may update or modify these Terms from time to time to reflect changes in the Platform, business model, applicable law, or operational requirements. Updated Terms may be communicated through the Platform, email, or other appropriate means. Continued use of the Platform after the effective date of revised Terms may constitute acceptance of the updated Terms, subject to applicable law.

39. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, disputes arising between Jashn and the Venue Partner in relation to these Terms shall be subject to the jurisdiction of the competent courts at Mathura, Uttar Pradesh, India.

40. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to remain in full force and effect to the extent permitted by applicable law.

41. Entire Agreement

These Terms, together with the applicable Jashn Privacy Policy, Legal Notices & Disclaimers, Refund & Cancellation Policy, and any separately executed agreement between Jashn and the Venue Partner, constitute the understanding governing the Venue Partner's use of the Platform. In case of conflict, the terms of a separately executed written agreement between Jashn and the Venue Partner shall prevail to the extent of the conflict.
